Please review the terms and conditions governing your use of the API360 Portal.

Last updated: May 1, 2026

Preamble

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding contract between you ("User", "you", "your") and API360 ("Platform", "we", "us", "our"), the operator of the API360 API marketplace platform accessible at www.api360.sa.

By registering an account on the API360 platform, you confirm that you have read, understood, and unconditionally agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not register an account or use the Platform.

These Terms are supplemented by the API360 Privacy Policy, which is incorporated herein by reference and forms part of this Agreement. Where you subscribe to individual API products, the API360 Subscription Terms and Conditions (Part II of this document) also apply.

The Arabic version of this Agreement is the legally governing version. The English version is provided for convenience only. In the event of any conflict or inconsistency, the Arabic text shall prevail.

API360 reserves the right to amend these Terms at any time. Any amendments will be published on the Platform and will take effect upon the date of publication. Your continued use of the Platform following publication of an amendment constitutes your acceptance of the revised Terms.

Part I — Platform Terms and Conditions

2.3The creation of fictitious, alias, or otherwise misleading accounts is strictly prohibited. You must not impersonate any individual, organisation, or regulatory authority.

2.4Email verification is required before your account is activated. API360 may, at its discretion, require additional identity verification for accounts accessing certain API categories.

2.5Each individual or legal entity may maintain only one active account on the Platform unless API360 provides written authorisation to maintain multiple accounts.

3. Accepted Use and Prohibited Conduct

3.2Without limiting the generality of the foregoing, you expressly agree that you shall not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data structures of any API published on the Platform;
  • Conduct vulnerability scanning, penetration testing, or any form of security testing on the Platform or any API product without the prior written consent of API360 and the relevant API Provider;

  • Use the Platform in any manner that could impair the performance, integrity, or availability of the Platform or any connected systems.

3.3Any breach of this Article may result in immediate account suspension or termination without notice and without liability to API360. API360 may report suspected criminal conduct to the relevant Saudi authorities.

4. API Key Responsibilities

4.1Upon subscription to an API product, API360 shall issue you with one or more API Keys. Each API Key is strictly personal to your account and may not be shared, transferred, sold, or disclosed to any third party.

4.2You are solely and fully responsible for maintaining the confidentiality and security of your API Keys. You must not embed API Keys in publicly accessible code repositories, client-side applications, or any environment accessible to third parties without appropriate access controls.

4.3In the event of any actual or suspected unauthorised use, disclosure, or compromise of an API Key, you must notify API360 immediately through the Platform's support channels. API360 shall revoke the compromised Key and issue a replacement upon verification.

4.4API360 shall bear no liability whatsoever for any losses, damages, or claims arising from your failure to maintain the security of your API Keys, including but not limited to unauthorised API calls, data exposure, or charges incurred through a compromised Key.

5. Subscription Packages and Billing

5.1API360 offers the following subscription tiers, the details of which are set out on the Pricing page of the Platform:

  • Free / Trial Plan: Limited request quota at no charge, subject to the Platform's fair use policy;
  • Basic Plan: A fixed monthly subscription with a defined request quota;
  • Prepaid Plan: Credit-based access consumed against a pre-purchased allowance;
  • Enterprise Plan: Custom commercial arrangements governed by a separate written agreement.

5.2All pricing on the Platform is denominated in Saudi Riyals (SAR) and is inclusive of applicable Value Added Tax (VAT) at the rate prescribed by the Zakat, Tax and Customs Authority (ZATCA). Where a User makes payment in a foreign currency, the applicable exchange rate shall be determined by the payment gateway provider at the time of transaction.

5.3Subscription fees are payable in advance for each billing cycle. Non-payment of fees when due may result in the suspension of access to the relevant API product.

5.4API360 reserves the right to revise its pricing at any time. Users on existing subscriptions will be notified of any price changes prior to their next renewal date.

6. Third-Party API Provider Terms

6.1Certain API products available on the API360 marketplace are published and operated by third-party API Providers. When you subscribe to such an API product, you acknowledge that your use of that product is also governed by the terms and conditions of the relevant API Provider, which are displayed at the time of subscription.

6.2API360 acts solely as a marketplace operator and gateway facilitator. API360 is not a party to any arrangement between you and an API Provider, and makes no representations, warranties, or guarantees with respect to the quality, accuracy, availability, or legality of any third-party API product.

6.3Any dispute arising from your use of a third-party API product shall be resolved between you and the relevant API Provider. API360 shall have no liability in connection with such disputes.

7. User Data Accuracy and Responsibility

7.1You are solely responsible for the accuracy, legality, completeness, and propriety of all data and content that you submit to or transmit through the Platform, including data submitted in the course of API calls.

7.2You warrant that your use of any API product does not violate the rights of any third party, including intellectual property rights, privacy rights, or rights under Applicable Law.

7.3API360 shall not be liable for any failed transactions, incorrect outputs, or system errors resulting from data submitted by you that is inaccurate, incomplete, or not in the required format.

8. Privacy and Personal Data (Saudi PDPL)

8.1API360 is committed to protecting your personal data in compliance with the Personal Data Protection Law of the Kingdom of Saudi Arabia ("PDPL") and its Implementing Regulations, which became enforceable in September 2024.

8.2API360 collects and processes your personal data solely for the purpose of account management, platform operation, and the delivery of the services described in these Terms. API360 does not sell or share your personal data with third parties for marketing purposes without your explicit consent.

8.3Subject to the provisions of the PDPL and these Terms, you have the following rights with respect to your personal data:

  • The right to access and receive a copy of your personal data held by API360;
  • The right to correct inaccurate or incomplete personal data;
  • The right to request the deletion of your personal data, subject to API360's legal retention obligations;
  • The right to withdraw your consent to any processing of personal data based on consent, without prejudice to the lawfulness of processing prior to withdrawal;

8.5Full details of API360's data processing practices, retention periods, and your rights are set out in the API360 Privacy Policy, which is available on the Platform and is incorporated into this Agreement.

9. Intellectual Property

9.1All Intellectual Property rights in the API360 Platform, including but not limited to its design, architecture, source code, documentation, branding, trademarks, and Content, are owned by or licensed to API360. Nothing in these Terms grants you any right, title, or interest in or to API360's Intellectual Property except as expressly set out herein.

9.2Each API Provider retains full ownership of its API product, data, and associated documentation. API360 does not claim any ownership interest in third-party API products published on the Platform.

9.3You must not copy, reproduce, modify, distribute, publicly display, create derivative works of, or otherwise exploit any part of the Platform or its Content without the prior written consent of API360.

9.4You grant API360 a non-exclusive, royalty-free, worldwide licence to use, store, and process data submitted by you to the Platform solely to the extent necessary to provide the services described in these Terms.

10. Limitation of Liability

10.1The Platform and all API products available through it are provided on an "as is" and "as available" basis. API360 makes no warranty, express or implied, regarding the accuracy, completeness, reliability, or suitability of any data or information provided through the Platform or any API product, including those published by third-party API Providers.

10.2To the fullest extent permitted by Applicable Law, API360 shall not be liable to you or any third party for any:

  • Indirect, incidental, or consequential losses or damages;
  • Loss of profits, revenue, or business opportunities;
  • Loss of data or damage to systems;
  • Reputational harm;
  • Losses arising from reliance on third-party API data.

10.3API360's aggregate liability to you under or in connection with these Terms, however arising, shall not exceed the total subscription fees paid by you to API360 in the three (3) calendar months immediately preceding the event giving rise to the claim.

10.4Nothing in these Terms excludes or limits API360's liability for death or personal injury caused by gross negligence, fraud, or any liability that cannot be excluded or limited by Applicable Law.

11. User Indemnification

11.1You agree to defend, indemnify, and hold harmless API360, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your breach of any provision of these Terms;
  • Your use of the Platform in violation of Applicable Law;
  • Any claim by a third party arising from data or content you submit through the Platform;
  • Any infringement of a third party's rights caused by your use of the Platform.

12. Account Security Obligations

12.2You must notify API360 immediately upon becoming aware of any actual or suspected unauthorised access to your account, any breach of your account security, or any loss or theft of your login credentials.

12.3Your account is personal to you and is non-transferable. You must not sell, lease, assign, delegate, or otherwise transfer your account or any rights therein to any third party without the prior written consent of API360.

12.4API360 reserves the right to suspend your account or require a password reset if it reasonably believes your account security has been compromised.

13. Service Provider Rights

13.1API360 reserves the right, at its sole discretion and without prior notice or liability, to:

  • Suspend or terminate any account that is found to be in breach of these Terms or Applicable Law;
  • Modify, discontinue, or temporarily suspend any service or feature on the Platform;

13.2API360 shall use reasonable efforts to provide advance notice of planned maintenance or service changes where practicable, but is not obliged to do so in cases of emergency or where legally required to act without notice.

14. Notifications and Marketing Communications

14.1API360 will send official notices, account alerts, and service-related communications to the email address associated with your account. You are responsible for ensuring that your registered email address remains current and accessible.

14.2By registering an account, you consent to receiving service-related communications from API360. Such communications may include account verification, billing notices, security alerts, and platform updates.

14.3Marketing and promotional communications are sent only where you have provided explicit consent in accordance with the requirements of the Saudi PDPL. You may withdraw your consent to marketing communications at any time by clicking the unsubscribe link in any marketing email or by updating your communication preferences in your account settings.

15. Updates to These Terms

15.1API360 reserves the right to update or replace these Terms at any time. The revised Terms will be published on the Platform along with the effective date of the changes.

15.2Where a material change is made to these Terms, API360 will use reasonable efforts to notify registered Users by email in advance of the effective date. For changes required by Applicable Law or by a competent authority, the revised Terms may take effect immediately upon publication.

15.3Your continued use of the Platform following publication of the revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must cease using the Platform and may request the closure of your account.

16. Governing Law and Jurisdiction

16.1These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.

16.2You irrevocably agree that the courts of Riyadh, Kingdom of Saudi Arabia, shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.

16.3The Arabic text of these Terms is the legally governing version. The English translation is provided solely for informational purposes and does not create legally binding obligations. In the event of any discrepancy, ambiguity, or conflict between the Arabic and English versions, the Arabic version shall prevail in all respects.

17. General Provisions

17.1Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17.2No Waiver: The failure by API360 to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17.3Entire Agreement: These Terms, together with the Privacy Policy and, where applicable, the Subscription Terms and Conditions set out in Part II of this document and any Enterprise agreement, constitute the entire agreement between you and API360 with respect to the Platform and supersede all prior or contemporaneous understandings, negotiations, representations, warranties, agreements, statements, and conditions, whether oral or written.

17.4Assignment: API360 may assign its rights and obligations under these Terms to an affiliate or successor entity without your consent. You may not assign your rights or obligations under these Terms without the prior written consent of API360.

17.5Arabic Language Governs: Arabic is the governing language of this Agreement. All legal proceedings, arbitration, or dispute resolution shall be conducted in Arabic unless otherwise agreed in writing.

Part II — Subscription Terms and Conditions

These Subscription Terms and Conditions ("Subscription Terms") apply each time you subscribe to a paid API product or plan on the API360 platform. They supplement — and do not replace — the Platform Terms and Conditions set out in Part I. By proceeding past the Subscription Terms modal, you confirm that you have read and agree to these Subscription Terms in addition to the Platform Terms.

1. Selected Package Details and Commitment

1.1Before completing your subscription, the Platform will display to you the name of the selected plan or API product, the applicable price, the request quota, the billing cycle, and the feature set. You are required to review this information carefully before proceeding.

1.2By proceeding to payment, you acknowledge that you have understood and accepted the specific plan or API product you are subscribing to, including its price, quota, and billing frequency.

1.3API360 does not offer grace periods or cooling-off rights unless required by Saudi Consumer Protection Law. You are advised to review the plan details fully before committing.

2. Billing and Auto-Renewal

2.1Subscription fees are charged in advance at the beginning of each billing cycle. The applicable billing cycle (monthly or annual) is specified at the time of subscription.

2.2Subscriptions auto-renew automatically at the end of each billing cycle unless cancelled by you prior to the renewal date. API360 will send a renewal reminder to your registered email address not less than seven (7) calendar days before the renewal date.

2.3Your continued subscription without cancellation prior to the renewal date constitutes your consent to be charged the applicable renewal fee for the subsequent billing cycle.

2.4API360 reserves the right to update subscription pricing. Any price change will be communicated to you no less than thirty (30) days prior to the date on which it takes effect. Your continued subscription after the effective date of a price change constitutes your acceptance of the new price.

3. Refund and Cancellation Policy

3.1You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. You will retain access to the subscribed API product until the end of the paid cycle.

3.2No refund will be issued for any unused portion of a billing cycle following cancellation, except where required by the Saudi Consumer Protection Law or by a separate written agreement with API360.

3.3Prepaid packages and credit-based subscriptions are non-refundable once the associated credits have been fully or partially consumed.

3.4Enterprise subscriptions are governed by the terms of the applicable separate written agreement, which may include specific refund and cancellation provisions that differ from those set out in this Article.

3.5API360 will process any refund owed under this Article within fourteen (14) business days using the same payment method used for the original transaction.

4. Payment Terms

4.1Payment is due in full in advance of each billing cycle. API360 will not activate or renew any subscription until payment has been received and confirmed.

4.2The accepted payment methods are listed on the checkout page at the time of subscription. API360 reserves the right to add, remove, or modify accepted payment methods at any time with reasonable prior notice.

4.3All prices are stated in Saudi Riyals (SAR) and are inclusive of Value Added Tax (VAT) at the rate of fifteen percent (15%) as prescribed by ZATCA. A VAT-compliant invoice or receipt will be issued to you following each successful payment.

4.4In the event of non-payment or a failed payment transaction, API360 may, without prior notice, suspend or terminate access to the relevant API product. API360 may retry a failed payment within the same billing cycle using the payment method on file.

4.5You are responsible for ensuring that your payment details remain current and valid. API360 shall not be liable for any service interruption resulting from an outdated or invalid payment method.

5. Third-Party API Provider Terms

5.1Where you subscribe to an API product published by a third-party API Provider, that Provider's terms and conditions apply to your use of that API product in addition to these Subscription Terms. The applicable Provider terms are displayed within the Subscription Terms modal at the time of subscription.

5.2You are required to review the Provider's terms before proceeding. Subscribing to a third-party API product constitutes your acceptance of both these Subscription Terms and the applicable Provider terms.

5.3API360 is not responsible for the service level, data accuracy, availability, or continued publication of any third-party API product. Any dispute arising from your use of a third-party API product must be resolved directly with the relevant API Provider.

5.4If a third-party API Provider withdraws or discontinues its API product, API360 will notify affected subscribers within a reasonable time. No refund obligation arises on the part of API360 in such circumstances; any refund claim must be directed to the relevant API Provider.

6. Service Level and Availability

6.1API360 uses commercially reasonable efforts to maintain Platform availability and API gateway uptime. However, API360 does not guarantee one hundred percent (100%) uninterrupted availability of the Platform or any API product.

6.2Planned maintenance windows will be communicated to Users in advance via the Platform and/or email wherever possible. Emergency maintenance may be performed without prior notice.

6.3Downtime below the applicable Service Level Agreement ("SLA") threshold specified in your subscription plan does not entitle you to a refund, service credit, or any other remedy unless expressly provided in an Enterprise agreement.

6.4API360 shall not be liable for any downtime, degradation of service, or data loss arising from events beyond its reasonable control, including without limitation force majeure events, failures of third-party infrastructure, or actions by competent governmental authorities.

7. Overage and Quota Policy

7.1Each subscription plan includes a defined request quota per billing cycle, as specified on the Platform's Pricing page and confirmed at the time of subscription. You must monitor your API usage to ensure compliance with the applicable quota.

7.2API360 will notify you by email when your usage approaches the applicable quota threshold (typically at eighty percent (80%) and ninety-five percent (95%) utilisation). You are encouraged to upgrade your plan before reaching the quota limit to avoid service interruption.

7.3Upon exhaustion of the applicable quota:

  • For Basic and Prepaid plans: API calls will be suspended until the next billing cycle begins or until you upgrade to a higher plan or purchase additional credits, as applicable;
  • For Enterprise plans: overage charges and policies are as specified in the applicable separate written agreement.

7.4API360 is not liable for any business losses, data loss, or other consequences arising from service suspension due to quota exhaustion.
